What you are buying, what we promise, and what we do not.

These terms govern everything bought through magictext.online. Placing an order means you accept them. They are between you and Yury Kovalenok ("we", "us"), of 1500 Preston Rd, Apt 1314, Plano, TX 75093.

What we sell

ResearchFrom $500 per day You describe the question. We read it, then send a fixed quote. Nothing is charged until you accept.
ProjectFrom $5,000, from two weeks Same as research: you scope it, we quote it, you decide.
Coffee$5 or more A voluntary tip. Nothing is owed or expected in return.

All prices are in US dollars and exclude any tax that may apply to you. Published figures are starting points: the binding price for research and project work is the one written on the quote we send you.

Quotes

A quote states the scope, the price, the timeline and what is excluded. It is valid for 30 days. Accepting it, by paying the invoice or saying so in writing, forms the contract for that work. Anything not written in the quote is not in scope; if you want it added, we requote.

Payment

Payment is processed by Stripe. We never receive or store your card details. Consultations are paid when booked. Research and project work is invoiced per the quote and due on the stated terms, [NET TERMS, e.g. 14 days] by default. Work may pause on overdue invoices; we will tell you before it does, not after.

What we promise

What we do not promise

Research produces findings, not guaranteed outcomes. A recommendation is not a warranty that following it will succeed commercially. Software is provided as described in its quote, not as defect-free. We do not guarantee particular business results, rankings, revenue or model accuracy beyond figures explicitly written into a quote.

Who owns what

Everything you give us stays yours. On full payment, deliverables produced specifically for you become yours. We keep ownership of our pre-existing tools, libraries and general know-how, and grant you a perpetual licence to use them as embedded in your deliverables. We may describe the work in general terms as experience unless the NDA says otherwise; we never name you or reveal specifics without written permission.

Confidentiality

We treat what you share as confidential and use it only for your work. This survives the engagement. If you need a formal NDA, tick the box on the request form and we will sign yours before you tell us anything sensitive.

Your responsibilities

Give us accurate information, the access we need, and answers within a reasonable time. Delays caused by waiting on you move the timeline. You confirm you have the right to share any data, credentials or systems you give us access to.

Limitation of liability

Nothing here limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited.

Subject to that, our total liability for any engagement is capped at the fees you paid us for that engagement, and we are not liable for indirect or consequential loss, lost profit, lost revenue, lost data or business interruption.

Cancellation

See the refunds and cancellation policy, which forms part of these terms.

If something goes wrong

Tell us. Most problems are a misunderstanding about scope and are fixed in a conversation. If that fails, both sides agree to attempt a good-faith resolution in writing before starting formal proceedings.

Governing law

These terms are governed by the laws of Texas, and the courts of Collin County, Texas have exclusive jurisdiction. If you are a consumer in the UK or EEA, this does not remove protections you have under the law of the country you live in.

Changes

We may update these terms for new orders. The version that applies to your engagement is the one in force when you accepted the quote — we do not change the deal underneath you.
